1.Agreement to Terms

By accessing or using QuoteDefender™ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2.Service Description

QuoteDefender is a software tool that analyzes vehicle dealer quotes and provides informational insights including:

• Fee detection and categorization
• Interest rate comparison against manufacturer rates
• Lease and finance payment analysis
• Negotiation guidance and scripts
• Deal comparison tools

2a.License to Use

Subject to your compliance with these Terms, QuoteDefender LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.

This license does not include the right to:

• Modify, copy, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Rent, lease, sell, or sublicense the Service to third parties
• Use the Service for any commercial purpose without authorization
• Remove any proprietary notices or labels from the Service
• Reproduce manufacturer program data from the Service as a reference for others or in bulk

2b.Manufacturer Program Data

Money factors, residual values, buy rates, APR tiers, and incentive amounts shown in the Service are licensed from third-party data providers and are provided to help you evaluate your own vehicle transaction. You may share your analysis, including these figures, with the dealer or lender you are negotiating with, and with others to get advice on your own deal.

You may not reproduce program data from the Service as a reference for others, in bulk, or on a recurring basis, or use the Service as a source for any data product, website, or series of forum posts.

Program figures are limited-time manufacturer offers, are subject to change without notice, and require qualification. Confirm every figure with the dealer before signing.

3.User Responsibilities

When using our Service, you agree to:

• Provide accurate information when uploading quotes or entering data
• Use the Service for lawful purposes only
• Not attempt to reverse engineer or exploit the Service
• Verify all analysis results independently before making financial decisions
• Maintain the confidentiality of your account credentials

4.Account Terms

You may use QuoteDefender as a guest with limited functionality, or create an account for full access. When creating an account:

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must be at least 18 years old
• One person or legal entity may not maintain more than one account

5.Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of QuoteDefender LLC. The Service is protected by copyright, trademark, and other laws.

6.Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

Images uploaded for analysis are processed to extract quote information and are not permanently stored on our servers. Deal data you choose to save is stored securely and associated with your account.

7.Savings Estimates

Any savings estimates, potential savings amounts, or fee identification provided by the Service are estimates based on available data and user input. Actual savings may vary based on:

• Accuracy of information provided
• Dealer willingness to negotiate
• Local market conditions
• Your credit profile and circumstances
• Changes in manufacturer incentives and rates

8.Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

QUOTEDEFENDER LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

9.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUOTEDEFENDER LLC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

10.Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

11.Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

12.Pricing & Defender Passes

QuoteDefender offers free access and time-limited Defender Passes. By purchasing a pass, you agree to the following:

• Pass Pricing: Defender Pass 7-Day is $9.99. Defender Pass 30-Day is $14.99 through October 29, 2026, and $19.99 from October 30, 2026. Prices are subject to change with 30 days notice.
• Pass Duration: Passes provide unlimited scans for the specified duration (7 or 30 days) starting from the time of purchase. Passes expire automatically at the end of the period.
• No Auto-Renewal: Defender Passes are one-time purchases that do NOT automatically renew. This is by design to prevent subscription fatigue and ensure you only pay when actively shopping for a vehicle.
• Pass Stacking: If you purchase a new pass while a current pass is active, the new pass begins when purchased. Pass durations do not stack or combine.
• Refunds: Pass purchases are non-refundable once activated. Please ensure you are ready to use your pass before purchasing.
• Scout (Free) Tier: Registered users without an active pass receive unlimited quote scans with score and savings preview. Upgrade to a Defender Pass to unlock full fee details and negotiation scripts.
• Guest Access: Unregistered guests may use 3 Ad Decoder scans and preview quote analyses before creating an account.

13.Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Brazos County, Texas.

QuoteDefender LLC is a Texas limited liability company.
